BorgWarner/Delphi Technologies

On 30 September 2020 the European Commission unconditionally approved BorgWarner’s acquisition of Delphi Technologies. The transaction had previously been cleared in several other jurisdictions worldwide including China, South Korea, Mexico, Russia and Turkey.

Both BorgWarner and Delphi Technologies are global manufacturers of automotive parts including parts relating to engines (timing, emissions and ignition technology) and power electronics. The Parties overlap in the sale of several automotive parts for light vehicles in a number of geographies, both in the OEM/OES channel and the independent aftermarket, though these overlaps did not raise competition concerns given the Parties’ generally modest market shares and the presence of significant third-party competitors remaining post-transaction.
