Three “takeaways” from Amazon/Deliveroo

Last month the CMA cleared Amazon’s minority investment in Deliveroo after an in-depth Phase 2 investigation. Having previously provisionally cleared the investment on failing firm grounds at the height of the Covid crisis the CMA ultimately changed tack and cleared the transaction on the basis that, even if Amazon had designs on re-entering restaurant food delivery in the UK, a minority investment would not alter its re-entry decision and was not sufficient to identify a substantial lessening of competition.
